Cambridge is a manufacturing city attached to a technology region. A machine shop and a software consultancy do not need the same share clauses, but they need the same skeleton: name, registered office, at least one director, and a share class that can actually be issued to the people who paid in.
Owners selling into the United States, or putting staff in more than one province, often pick federal so the name is not sitting in a single provincial registry. Owners whose plant, customers, and house are all in Waterloo Region usually do not need to. We will say so on a call rather than default everyone to federal.
After filing, the work that keeps the corporation real is dull: annual return, T2 six months after year-end, HST on time, and payroll remittances if anyone is on a T4. Tax Everyday files the company and can keep those after it exists. The Cambridge articles are prepared from the same mandatory form as a Toronto or Vaughan company.
